1. Definitions

In these Terms, the following definitions apply:

• "Account" means the account created by a User to access and use the Services.
• "Content" means any text, graphics, images, music, software, audio, video, information, or other materials appearing on or through the Services.
• "Order" means a request to book models or purchase services through the Services.
• "Services" means the modeling agency services, representation, bookings, and related services offered by Elegance Models Dubai.
• "User" means an individual who accesses or uses the Services.
• "User Content" means any Content that a User posts, uploads, publishes, submits, or transmits to be made available through the Services.

2. Account Registration and Use

2.1 Account Creation

To use certain features of our Services, you may need to register for an Account. When you register, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy. You are responsible for safeguarding your password and for all activities that occur under your Account. You agree to notify us immediately if you suspect any unauthorized use of your Account.

2.2 Age Requirement

You must be at least 18 years old to create an Account and use our Services. By creating an Account, you represent and warrant that you are at least 18 years old.

2.3 One Account Per User

You may not create more than one Account without our express permission. We reserve the right to terminate any duplicate Accounts.

2.4 Account Termination

We reserve the right to suspend or terminate your Account at any time for any reason, including but not limited to violation of these Terms. You may also terminate your Account at any time by contacting our customer service.

3. Using Our Services

3.1 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial use.

3.2 Service Modifications

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

3.3 Service Availability

We do not guarantee that our Services will be available at all times. We reserve the right to suspend or discontinue the Services at any time without notice.

4. Model Bookings and Services

4.1 Booking Process

All model bookings must be made through our official channels, including our website, email, or phone. A booking is only confirmed when you receive written confirmation from us.

4.2 Booking Fees

Our fees for model bookings vary depending on the specific requirements of your project. All fees will be clearly communicated to you before you confirm a booking. Additional charges may apply for overtime, travel, accommodation, and other expenses.

4.3 Payment Terms

Payment terms will be specified in your booking confirmation. Generally, a deposit is required to secure a booking, with the balance due either before or upon completion of the assignment, as specified in your agreement.

4.4 Cancellation Policy

Cancellation fees apply to all bookings and vary based on the notice period. Cancellations made:

• More than 48 hours before the scheduled assignment: Deposit may be refunded or credited toward a future booking
• 24-48 hours before the scheduled assignment: 50% of the total fee will be charged
• Less than 24 hours before the scheduled assignment: 100% of the total fee will be charged

For large-scale projects, fashion shows, and campaigns, specific cancellation terms will be outlined in your contract.

5. User Responsibilities

5.1 Prohibited Activities

When using our Services, you agree not to:

• Violate any applicable law or regulation
• Infringe upon the rights of others
• Attempt to access any unauthorized parts of the Services
• Use the Services for any illegal or unauthorized purpose
• Harass, abuse, or harm another person
• Send spam or unsolicited communications
• Interfere with or disrupt the Services
• Bypass any measures we may use to prevent or restrict access to the Services

5.2 Client Responsibilities

If you book models through our agency, you agree to:

• Provide a safe and professional working environment
• Respect the agreed-upon work hours and conditions
• Not request models to perform tasks beyond the scope of the booking agreement
• Obtain all necessary permits, licenses, and releases for your project
• Respect the dignity and professionalism of our models
• Not contact our models directly for future bookings, but rather through our agency

6. Intellectual Property

6.1 Our Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Elegance Models Dubai and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Arab Emirates and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Elegance Models Dubai.

6.2 Model Imagery and Rights

When you book a model through our agency, you receive specific usage rights as outlined in your booking agreement. These rights are limited to the specified uses, media, territory, and time period. Any usage beyond what is specified in your agreement requires additional permission and may incur additional fees.

6.3 User Content

By posting, uploading, or otherwise making available any User Content on or through our Services, you grant us a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit such User Content in connection with the Services and our business, including for promoting and redistributing part or all of the Services.

6.4 Copyright Infringement

If you believe that your work has been copied in a way that constitutes copyright infringement, please provide us with the following information:

• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest
• A description of the copyrighted work that you claim has been infringed
• A description of where the material that you claim is infringing is located on the site
• Your address, telephone number, and email address
• A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
• A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

7. Disclaimers

7.1 Service Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

7.2 Availability Disclaimer

Elegance Models Dubai does not warrant that a) the Service will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

8. Limitation of Liability

In no event shall Elegance Models Dubai, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service; and
• Unauthorized access, use, or alteration of your transmissions or content,

whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

9. Indemnification

You agree to defend, indemnify, and hold harmless Elegance Models Dubai and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• Your use and access of the Service, by you or any person using your account and password;
• A breach of these Terms; or
• Content posted on the Service.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
